Begin with a world without financial intermediaries.
The first slide asks you to imagine that banks and other financial intermediaries do not exist. This does not mean that people stop saving or that firms stop needing funds. A household may have income it does not want to spend today. A business may have a useful investment project but not enough current cash to pay for it. The economic problem remains: how can purchasing power move from the person who has a surplus to the person who needs it?
In this imagined world, a saver who wants to finance a business must deal with that business’s financial claim. The saver could buy its shares, buy its bonds, or make a loan directly. A financial claim is a contractual or ownership right connected to future income or assets. The money travels to the firm now; the saver receives a right in return. A bond promises specified payments, subject to default risk. A share gives an ownership interest and a residual claim, rather than the same fixed repayment promise.
This is why the lecture starts with funds and claims, not simply “money.” The firm obtains spending power; the saver obtains an asset. For a debt instrument, that same asset is a liability of the issuer. You must be able to describe the transaction from both sides of the contract.
The need for finance exists before the intermediary. The intermediary exists because arranging that finance directly can be costly and difficult.
The opening slide names two possible routes: direct and indirect financing. The distinction is not whether someone helped you make the transaction. It is whether you hold the ultimate borrower’s claim yourself, or instead hold a claim issued by an intermediary that finances the borrower. The next diagram shows where those routes sit in the financial system.
Read the flow-of-funds diagram from left to right.
On the left of the source diagram are lender-savers: households, business firms, government and foreigners. On the right are borrower-spenders: business firms, government, households and foreigners. The repeated names are intentional. The diagram classifies their role in a particular flow of funds, not their permanent position in the economy.

The source also connects intermediaries to financial markets: an intermediary can buy a borrower’s securities through a market. The arrows above show the direction of funds. The associated financial claims run back toward the fund providers.
The lower route passes through financial markets. If a household buys a newly issued company bond, the household supplies the firm with funds and receives the firm’s bond. That is direct finance, even if a broker helps execute the purchase. The security the household holds is still a claim on the company.
The upper route passes through a financial intermediary. A household may place funds in a bank deposit; the bank may then make a business loan. Now the household holds a claim on the bank, while the bank holds a claim on the business. The source’s additional intermediary-to-market connection reminds you that banks, insurers and funds can also invest by buying securities. “Through a market” and “through an intermediary” are not mutually exclusive descriptions of every link in the chain.
When you study the diagram, trace one complete route and name the claim held at each point. Merely memorizing the two arrows misses the reason why the intermediary changes the relationship between the saver and the borrower.
Türkçe açıklama · Şemadaki her ok nasıl okunmalı?
Direct and indirect financing differ in the chain of claims.
The next slide puts the two routes side by side. In direct financing, the borrower raises funds by selling a financial instrument to a lender. That instrument is a claim on the borrower’s future income or assets. The lender must therefore care about that borrower’s ability and willingness to deliver the promised return.
In indirect financing, the financial institution first obtains funds from savers and then invests or lends those funds. The institution’s own liability to savers is different from the asset it acquires from borrowers. The lecture identifies this as the main route for transferring funds between savers and borrowers.
Direct route
The saver’s asset: The company’s bond.
Who must pay the saver? The company that issued it.
Indirect route
The saver’s asset: A deposit claim on the bank.
Who must pay the saver? The bank. Its borrower owes the bank separately.
Notice the importance of perspective. A bank deposit is an asset to the depositor but a liability to the bank. A loan made by the bank is an asset to the bank but a liability to the borrower. The same contract appears on opposite sides of two balance sheets. If you cannot switch perspectives correctly, later discussions of asset–liability mismatches will become confusing.
A wording clarification: the slide broadly calls issued securities the borrower’s liabilities. That is correct for debt instruments such as bonds. Shares are equity claims, not contractual debt. Keep the source’s central asset–claim idea while retaining this accounting distinction.
Why might direct financing attract too little funding?
The slide immediately highlights three obstacles: monitoring cost, liquidity cost and price risk. Your handwritten notes repeat all three, so they deserve an explanation rather than a passing list. Direct finance can be technically possible but unattractive to a small saver once these difficulties are considered.
Monitoring cost: finding out what the borrower is doing.
A lender needs information before committing funds and often needs continued oversight afterward. Is the borrower financially sound? Is the promised project plausible? Is the money being used as agreed? Gathering and checking that information takes expertise, time and money. If many small savers separately investigate the same borrower, costly work is duplicated. The benefit from lending a small amount may be too small to justify each saver’s investigation.
Liquidity cost: obtaining spendable cash when it is needed.
A saver may need cash before the borrower’s instrument matures. A long-term claim is not automatically a convenient means of payment. Selling it can require finding a buyer, paying transaction charges or accepting a discount for speed. The liquidity problem is therefore not simply “the asset has no value.” It is that obtaining cash at the required time can be difficult or costly.
Price risk: the claim may sell for less than expected.
Even when a buyer is available, the market price of the security can change. A bond with promised future payments may be worth less today if market interest rates rise or the borrower’s creditworthiness deteriorates. The saver can face a capital loss when selling. This is distinct from transaction cost: a price can move even in a market where trading itself is cheap.
The three problems can reinforce one another. Poor information can make a claim harder to sell; an urgent sale can expose the saver to an unfavorable price. Financial institutions create value if their scale, expertise and contract design allow them to handle these problems more effectively. The lecture now turns from why they may be needed to what they actually do.
B.1 Financial institutions as brokers
The first function is to provide information and transaction services. An institution can help investors find counterparties, obtain market information and complete trades. This is different from accepting deposits and transforming them into loans: a transaction service need not replace the ultimate borrower’s claim with a claim on the institution itself.
Within this heading, the source also introduces a dealer. A dealer holds an inventory of a security and stands ready to buy or sell it at quoted prices. Holding inventory matters: the dealer can trade with a customer without waiting for an exactly matching customer order, but it also takes the risk that the inventory’s value will change.
The two quoted prices must be read from the dealer’s perspective. The bid is the price at which the dealer is willing to buy. The ask is the price at which the dealer is willing to sell. As a customer, you normally buy at the ask and sell at the bid. Reversing this perspective reverses the meaning of the spread.
Bid–ask spread = Ask price − Bid price
For a simple teaching illustration—not a numerical example printed in the source—suppose the dealer quotes a bid of 98 and an ask of 101. A customer sells to the dealer for 98; a customer buys from the dealer for 101. If the dealer can complete both sides at those prices, the gross difference is 3 per security. That difference helps compensate the dealer for providing immediacy, carrying inventory and operating the service.
Read the source’s “spread = profit” label carefully. The spread is a gross trading margin, not a guarantee of net profit. Funding costs, operating costs and losses while holding inventory still matter. The handwritten exam note highlights definitions/fill-in-the-blank questions; understanding the dealer’s perspective is what makes those definitions reliable.
Türkçe açıklama · Bid ve ask neden sürekli karıştırılıyor?
Kaynak B.1 başlığında broker hizmetini ve dealer’ın piyasa yapmasını birlikte anlatıyor. Broker tarafları buluşturabilir, bilgi ve işlem hizmeti sağlayabilir. Dealer ise kendi hesabına stok tutup alım-satım fiyatı ilan eder. Aynı finansal kuruluş farklı işlemlerde iki rolü de oynayabilir; fakat kavramlar aynı değildir.
Bid ve ask’i kendi müşterilik açısından ezberlersen karıştırman kolaydır. Tanım dealer açısından yapılır: bid dealer’ın alış fiyatı, ask dealer’ın satış fiyatıdır. Sen müşterisin; almak istediğinde onun satış fiyatı olan ask’i ödersin. Satmak istediğinde onun alış fiyatı olan bid’i alırsın.
Özgün açıklayıcı örnekte bid 98, ask 101 olsun. Dealer 98’e alıp 101’e satabilirse birim başına 3 brüt fark vardır. “Ask−bid” kullanmamızın nedeni budur. Sen aynı fiyatlarda hemen alıp geri satsan101 öder, 98 alır ve 3 kaybedersin; bu fark müşterinin işlem maliyetidir.
Fakat dealer’ın elinde tuttuğu varlık değer kaybedebilir. Personel, sistem ve fonlama giderleri de vardır. Bu yüzden kaynak kutusundaki “spread=profit” kısa ifadesini maliyetler ve stok riski dışarıda bırakıldığında işlem marjı olarak anlamalısın; her kotasyonun kesin net kâr getirdiğini söylememelisin.
El yazısı not “definition or fill blank for exam” diye dikkat çekiyor.
B.2 Financial institutions as asset transformers
Brokerage helps a transaction happen. Asset transformation changes the financial claim offered to the saver. The institution purchases a direct claim from a borrower and finances it by issuing its own claim with different characteristics. The source describes this as the transformation of primary securities into secondary securities.
Here, a primary security is the claim issued by the ultimate borrower. A secondary security is the intermediary’s transformed claim offered to savers. Do not confuse this wording with the primary market versus secondary market distinction. A secondary market trades existing securities; this passage is describing a chain of different claims.
The source’s transformation chain · PDF 3
BorrowersIssue primary claims
→
FI transformsHolds primary claims; issues its own claims
→
SaversHold secondary claims
This chain describes the claims. The funds used to purchase those claims move in the opposite direction.
A borrower may need a large, long-term loan. Individual savers may want to contribute smaller amounts and retain access to cash. An institution can pool the savers’ funds, hold the large loan, and issue claims that better fit the savers’ preferences. The borrower’s contract and the saver’s contract need not have the same denomination, maturity or liquidity.
That difference is a service—but it also creates a management problem. If a bank holds a loan that will pay in several years while promising depositors access much sooner, the underlying loan does not magically become liquid. The bank must manage the mismatch between when its assets deliver cash and when its liabilities require cash. This is the point of the handwritten question beside the slide: what kind of risk does transformation create for the balance sheet?
At this stage, the answer is not a formula. It is the mechanism: the institution’s more convenient promise to savers can expose it to withdrawals, funding renewal and interest-rate changes before the underlying asset matures. Later chapters develop those risks. The function and the risk come from the same balance-sheet structure.
How can transformation be profitable for the institution?
The source now poses an apparent puzzle. If the institution buys the borrower’s original claim and gives savers a claim they find more attractive, where does the institution’s own benefit come from? The answer is not that it can promise more without cost. The lecture identifies its ability to deal more effectively with information cost, liquidity cost and transaction cost.
Consider information first. A specialized institution can gather information and monitor a borrower on behalf of many savers. If a fixed investigation cost is spread across a larger pool of funds, the information cost per unit of finance can fall. This is an economy of scale. It is also the beginning of delegated monitoring: savers rely on the institution to perform monitoring that would be costly for each of them separately.
The handwritten notes next to this passage name asymmetric information, adverse selection, moral hazard and Akerlof’s 1970 “lemons” idea. These terms explain why information is economically important. Asymmetric information means one party knows relevant information that the other does not. Before a contract, hidden borrower characteristics can make it difficult to distinguish safer from riskier applicants: adverse selection. After the contract, hidden actions or changed incentives can lead the borrower to take risks the lender did not agree to: moral hazard.
Screening before lending and monitoring afterward therefore serve different purposes. An institution can create value by improving those decisions. It may also pool liquidity needs and execute transactions at lower per-unit cost. These efficiencies can make it possible to offer savers an attractive claim while leaving a margin for the institution—provided that its own costs and the risks it assumes are properly covered.
This leads directly to the next printed heading, “What are the benefits?” It begins at the bottom of PDF 3 and continues on PDF 4. The source will now unpack the information advantage, lower liquidity costs, lower transaction costs and other roles. Continue to the next lesson for those benefits, in the same sequence as the source.
Kaynağın sıradaki “benefits” slaydı bu başlıkları tek tek açar; devamı sonraki derste aynı not sırasıyla açıklanır.
After the lesson
Work it through yourself
These original practice questions use the lecture’s mechanisms. Write your reasoning before opening the model answer; opening it does not mark your progress.
1. Follow the claim
A saver buys a newly issued company bond through a broker. Another saver places a deposit at a bank that lends to the same company. Classify each route and name each saver’s direct contractual counterparty.
Türkçe soru
Bir tasarrufçu broker üzerinden şirketin yeni tahvilini alıyor. Diğeri aynı şirkete kredi veren bankaya mevduat yatırıyor. İki yolu sınıflandır ve her tasarrufçunun doğrudan sözleşme karşı tarafını söyle.
Check the reasoning and self-assessment criteria
The bond purchase is direct finance: the saver holds the company’s claim. The deposit route is indirect finance: the saver holds a bank claim, while the bank holds the company loan. Full credit requires naming both issuers; a broker’s involvement alone does not make the bond route indirect.
Türkçe çözüm ve değerlendirme ölçütü
Tahvil alımı doğrudan finansmandır: tasarrufçu şirketin hakkını tutar. Mevduat dolaylıdır: tasarrufçu bankadan, banka şirketten alacaklıdır. Tam cevap iki hakkı çıkaran tarafı belirtir; broker kullanmak tek başına dolaylı finansman değildir.
2. The convenience and its cost
A bank finances a five-year loan with deposits withdrawable much sooner. Explain the service it gives savers and the management problem created by that same structure.
Check the reasoning and self-assessment criteria
The bank transforms an illiquid long-term claim into a more convenient claim for savers. It must manage a timing mismatch: cash can be demanded before the loan repays, requiring liquid buffers, replacement funding or asset sales. A complete explanation connects the service to the risk; the loan has not become instantly repayable.
